This Data Processing Agreement ("DPA") supplements the Sergio Terms of Service and governs how we process personal data on your behalf when you use the Sergio platform.

When you invite an external accountant, bookkeeper, or financial professional ("Designated Accountant") through the Sergio Accountant Portal, the following data processing terms apply:
Designated Accountants act as your agents for data processing purposes. Access is limited by the level you assign:
As the Data Controller, you are responsible for:
Sergio maintains immutable audit logs of all Designated Accountant actions, including: logins, data views, exports, and modifications. Logs are retained for minimum 6 years per financial record keeping requirements and are accessible to you via the Platform.
Important: Sergio processes data on behalf of Designated Accountants at your instruction. Sergio does not independently verify professional credentials, conduct background checks, or assume liability for Designated Accountant actions. The relationship between you and your Designated Accountant is governed by your direct professional engagement with them.
When using the Sergio Accounting Module, additional data categories may be processed:

Financial data retention (6 years) aligns with CRA and IRS requirements and cannot be shortened upon account termination. Upon account termination, you may export this data, but we retain it in accordance with legal requirements.
This Annex applies to the processing of personal information of Quebec residents and supplements the main DPA terms.
